1. Introduction

Welcome to RiskScan, a security threat detection service operated by Elyxia Digital Pte Ltd, a company registered in Singapore. These Terms of Service (“Terms”) govern your access to and use of our email security scanning, message threat detection, and multi-channel security monitoring services.

By accessing or using our services, you agree to comply with and be bound by these Terms of Service. If you do not agree, please do not use our services.

IMPORTANT: These Terms should be read in conjunction with our Privacy Policy, which explains how we collect, use, and protect your data.

RiskScan provides AI-powered threat detection and security scanning services for email, messaging platforms, and other communication channels.

3.1 Threat Detection & Security Scanning

What We Do:

  • Analyze content submitted through configured Channels for security threats
  • Detect phishing, malware, spam, fraud, impersonation, and other risks
  • Generate Risk Scores (1-100) and threat classifications (low/medium/high)
  • Automatically block, quarantine, or flag content based on your configured settings
  • Provide analytics and reporting on detected threats

How It Works:

  • You configure one or more Channels (email domains, forwarding addresses, social media bots, in-app scanning)
  • Content sent through these Channels is automatically scanned by our AI models
  • Scan results are logged and accessible through your dashboard
  • You consume Credits based on the number of scans performed
3.2 Multi-Channel Support

Channel Setup: All channel-specific details (scanning addresses, bot usernames, configuration instructions) are shown in your user account dashboard after you add each channel.

Available Channel Types:

  1. Email Domain Protection: MX record configuration for full domain scanning
  2. Email Forwarding: Forward suspicious emails to designated Riskscan scanning address (details is stated in user account) 
  3. WhatsApp: Forward messages to our designated WhatsApp channel (details is stated in user account). 
  4. LINE: Add designated LINE account to your LINE account (details is stated in user account)
  5. Telegram: Forward messages to Riskscan designated Telegram account (details is stated in user account)
  6. In-App Scanning: Copy/paste text, URLs for manual scanning 

Channel Limits: Number of Channels you can configure depends on your subscription plan (see Section 5.3).

3.3 Credit-Based Usage System

Credit Consumption:

  • 1 Credit = 1 Scan of any content (email, message, text, file)
  • Credits reset monthly on your billing anniversary date
  • Usage tracked in real-time via your dashboard
  • Scans exceeding your plan limit will be rejected until credits reset or plan upgraded

What Consumes Credits:

  • Each email scanned through email domain protection or forwarding
  • Each message forwarded to social media bots (WhatsApp, LINE, Telegram)
  • Each in-app scan (text, URL, document)

What Does NOT Consume Credits:

  • Failed scans due to system errors (you are not charged)
  • Re-scanning the same content within 1 hour (cached results)
  • Configuration changes, Channel setup, or dashboard access
3.4 Service Limitations & Disclaimers

Critical Acknowledgments:

No Guarantee of 100% Threat Detection:

  • RiskScan uses advanced AI and machine learning, but no security system is perfect
  • False Negatives: Some threats may not be detected and may reach your inbox/messaging platform
  • False Positives: Legitimate content may occasionally be incorrectly flagged as threats

Supplementary Security Tool:

  • RiskScan is designed as a security layer, not a complete security solution
  • You must maintain other security measures including:
    • Antivirus software
    • Firewall protection
    • User security awareness training
    • Endpoint detection and response (EDR)
    • Multi-factor authentication (MFA)

Not a Replacement for Human Judgment:

  • Always exercise caution with suspicious communications
  • Do not rely solely on RiskScan for security decisions
  • Train your team to recognize common threats (phishing, social engineering)

Service Availability:

  • We strive for 99.9% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance will be announced in advance when possible
  • Emergency maintenance may occur without notice
  • See Section 10 for Service Level Agreement (SLA) details

4. User Accounts & Responsibilities

4.1 Account Registration
  • You must provide accurate and complete information when registering
  • Business accounts require a valid business email address
  • You represent that you are at least 18 years old or the age of majority in your jurisdiction
  • One account per person/organization (multiple users require Enterprise plan)
4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access ([email protected])
  • Using strong and unique passwords

We are NOT responsible for:

  • Losses resulting from unauthorized use of your account if you failed to secure credentials
  • Actions taken by anyone accessing your account with your credentials
4.3 Acceptable Use Policy

You agree NOT to:

Prohibited Activities:

  • Use RiskScan to scan content you do not have authorization to process
  • Reverse engineer, decompile, or attempt to extract our AI models or algorithms
  • Abuse or manipulate the credit system or attempt to bypass usage limits
  • Resell or redistribute RiskScan services without written authorization
  • Use automated tools to create fake accounts or generate artificial usage
  • Submit malicious content intentionally to test system vulnerabilities (contact [email protected] for responsible disclosure)

Prohibited Content:

  • Scanning illegal content (child abuse material, terrorist content, etc.)
  • Using RiskScan to facilitate illegal activities
  • Violating third-party intellectual property, privacy, or confidentiality rights
  • Scanning communications where you lack proper consent (where required by law)

Consequences of Violations:

  • Immediate account suspension or termination

  • Forfeiture of unused credits and subscription fees

  • Reporting to law enforcement if illegal activity detected

  • Legal action for damages (see Section 7)

4.4 Data Ownership & License

Your Data:

  • You retain all rights to content you submit for scanning
  • You grant RiskScan a limited license to process your content solely for threat detection
  • This license terminates when content is deleted per our retention policy (48 hours)

Scan Results:

  • You own the scan results (risk scores, threat classifications)
  • You may export and use scan results for your own purposes
  • We retain anonymized, aggregated scan data for service improvement (you can opt-out)

RiskScan Intellectual Property:

  • All technology, AI models, algorithms, software, and documentation are proprietary
  • You receive a limited, non-exclusive, non-transferable license to use the Service
  • This license terminates upon account cancellation or Terms violation

5. Payment & Subscription Terms

5.1 Subscription Plans

5.2 Payment Processing
  • Payments processed through Stripe or PayPal (PCI-DSS compliant)
  • Transactions conducted in USD()
  • All prices exclude applicable GST/VAT unless stated otherwise
5.3 Billing & Renewals

Subscription Billing:

  • Paid plans billed monthly or annually (in advance)
  • Automatic renewal on billing anniversary unless cancelled
  • Credit card/payment method must remain valid for auto-renewal
  • Failed payments result in account suspension after 7-day grace period

Credit Resets:

  • Monthly credits reset on your billing anniversary date
  • Unused credits do not roll over to the next month
  • Upgrade/downgrade takes effect at the next billing cycle
  • Immediate upgrades available (prorated charges apply)
5.4 Cancellations & Refunds

Cancellation Policy:

  • Cancel anytime from your account dashboard
  • Cancellation takes effect at the end of current billing period
  • You retain access to paid features until cancellation date
  • After cancellation, account reverts to Free plan (not deleted)

Refund Policy:

  • Subscription fees are non-refundable after payment processing
  • Exception: Singapore Consumer Protection (Fair Trading) Act allows 7-day cooling-off period for certain transactions
  • Contact [email protected] within 7 days for cooling-off period refund requests
  • No refunds for partial month usage or unused credits

Downgrades:

  • Downgrade anytime; takes effect at next billing cycle
  • No refunds for unused time on higher-tier plan
  • Credits adjusted to new plan limit immediately
  • Channels exceeding new plan limit must be deleted before downgrade
5.5 Free Trial (If Applicable)
  • Free trials (if offered) are one per customer
  • Requires valid payment method (not charged during trial)
  • Auto-converts to paid plan unless cancelled before trial ends
  • Trial abuse (multiple accounts, fake information) results in termination

6. Data Protection & Privacy

6.1 Compliance with PDPA
  • We process personal data in accordance with Singapore’s Personal Data Protection Act (PDPA) 2012
  • GDPR compliance applies for EU/EEA users
  • CCPA compliance applies for California residents

6.2 Content Processing & Retention

Message Content:

  • Temporarily stored for scanning (maximum 48 hours)
  • Automatically deleted after scan completion
  • Encrypted in transit (TLS 1.3) and at rest (AES-256)
  • Stored in AWS Singapore/EU regions (based on customer location)

Scan Results:

  • Risk scores, threat classifications, timestamps retained for 1 year
  • No full message content included in scan results
  • Available for export anytime (CSV/Excel format)

6.3 Data Transfers
  • Data may be transferred to AWS regions outside Singapore for processing
  • We implement Standard Contractual Clauses (SCCs) for lawful EU transfers
  • Enterprise customers can request specific data residency (e.g., EU-only processing)
6.4 Data Security

Our Security Measures:

  • TLS 1.3 encryption for all data in transit
  • AES-256 encryption for data at rest
  • Role-based access controls (RBAC)
  • Regular security audits and penetration testing

Your Security Responsibilities:

  • Secure your account credentials
  • Configure appropriate scan sensitivity levels
  • Review scan results regularly
  • Enable two-factor authentication (2FA)
  • Report security incidents to [email protected]

7. Indemnification

7.1 Your Indemnification of RiskScan

You agree to indemnify, defend, and hold harmless Elyxia Digital Pte Ltd, RiskScan, and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from:

Your Use of the Service:

  • Your violation of any term of these Terms of Service
  • Your violation of any third-party rights, including intellectual property, privacy, or confidentiality rights
  • Any content you submit, transmit, or make available through the Service
  • Your misuse or misconfiguration of the Service

Security Incidents Related to Your Account:

  • Unauthorized use of your account credentials due to your failure to maintain security
  • Your sharing of account access with unauthorized parties
  • Failure to report known security breaches in a timely manner

False Claims Against RiskScan:

  • Claims that RiskScan’s threat detection caused damages when you failed to implement other reasonable security measures
  • Claims resulting from your misconfiguration of scanning settings (e.g., setting sensitivity too high/low)
  • Disputes with third parties whose communications were blocked by your configured scanning rules
  • False accusations of service failures when the issue was caused by your systems or policies

Data You Provide:

  • Claims that content you submitted to RiskScan for scanning infringes on third-party intellectual property or privacy rights
  • Regulatory violations resulting from your use of the Service in non-compliant industries (e.g., using RiskScan for HIPAA-regulated communications without proper additional safeguards)
  • Scanning content without proper authorization or consent (where required by law)

Acceptable Use Policy Violations:

  • Damages resulting from your prohibited activities (see Section 4.3)
  • Legal fees and costs incurred defending against claims related to your violations
  • Regulatory fines or penalties imposed due to your misuse of the Service
7.2 Process for Indemnification Claims

If we receive a claim requiring your indemnification:

  1. We will promptly notify you in writing
  2. You must assume control of the defense at your expense
  3. We may participate in defense at our own expense
  4. You may not settle without our written consent if it imposes obligations on RiskScan
  5. We reserve the right to assume control if you fail to defend adequately

8. Limitations of Liability

8.1 Service Disclaimer

“AS IS” and “AS AVAILABLE” Basis:

RiskScan is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties that threat detection will be 100% accurate
  • Warranties regarding the timeliness, reliability, or completeness of scan results

No Guarantee of Security:

While RiskScan employs advanced AI and security technologies, we do not guarantee that:

  • All threats will be detected (false negatives)
  • Legitimate content will never be blocked (false positives)
  • The Service will prevent all security incidents affecting your organization
  • Our AI models are immune to adversarial attacks or evasion techniques
8.2 Limitation of Total Liability

Liability Cap:

To the maximum extent permitted by Singapore law, RiskScan’s total aggregate liability for any and all claims arising from or related to the Service shall not exceed the lesser of:

  1. The total amount you paid to RiskScan in the 12 months preceding the claim, OR
  2. SGD $1,000 (Singapore Dollars One Thousand)

This cap applies to all causes of action in the aggregate, including:

  • Breach of contract
  • Breach of warranty
  • Negligence
  • Strict liability
  • Misrepresentation
  • Any other tort or legal theory
8.3 Exclusion of Consequential Damages

In no event shall RiskScan be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages, including but not limited to:
    • Lost profits, revenue, data, or business opportunities
    • Cost of substitute services or goods
    • Business interruption or downtime
    • Reputational harm or damage to goodwill
    • Loss of anticipated savings
  • Damages resulting from threats not detected by our Service, including:
    • Successful phishing attacks that bypassed scanning
    • Malware infections from undetected malicious files
    • Data breaches resulting from false negatives
    • Financial losses from fraud not caught by our system
  • Damages resulting from false positives blocking legitimate communications, including:
    • Lost business opportunities from blocked emails
    • Missed critical notifications or alerts
    • Delayed customer responses
    • Reputational damage from blocked marketing campaigns
  • Damages from service interruptions, including:
    • Scheduled or emergency maintenance downtime
    • Third-party service outages (AWS, email providers, AI models)
    • DDoS attacks or other malicious activities targeting our infrastructure

This exclusion applies even if:

  • RiskScan has been advised of the possibility of such damages
  • A remedy fails of its essential purpose
  • The damages were reasonably foreseeable
8.4 Force Majeure

RiskScan is not liable for any failure or delay in performance due to causes beyond our reasonable control, including:

  • Natural disasters: Earthquakes, floods, typhoons, fires, pandemics
  • Acts of God: Severe weather, lightning strikes, other natural phenomena
  • War, terrorism, or civil unrest: Armed conflicts, riots, protests, government actions
  • Government actions: New regulations, embargoes, trade restrictions, court orders
  • Internet service provider failures: ISP outages, routing issues, DNS failures
  • Cyber attacks on infrastructure: DDoS attacks, ransomware affecting cloud providers
  • Third-party service outages: AWS downtime, payment processor failures, AI model provider issues
  • Labor disputes: Strikes, lockouts affecting our service providers
  • Utility failures: Power outages, telecommunications failures

During force majeure events:

  • We will make reasonable efforts to resume service as quickly as possible
  • Affected customers may receive service credits (see Section 10 – SLA)
  • Subscription periods may be extended for prolonged outages (at our discretion)
8.5 Exceptions to Limitations

Nothing in this Section excludes or limits liability for:

  • Death or personal injury caused by RiskScan’s negligence
  • Fraud or fraudulent misrepresentation by RiskScan
  • Gross negligence or willful misconduct by RiskScan
  • Violations of your statutory consumer rights that cannot be excluded by law under:
    • Singapore’s Consumer Protection (Fair Trading) Act
    • Singapore’s Unfair Contract Terms Act
    • Any other mandatory consumer protection laws
8.6 Allocation of Risk

You acknowledge and agree that:

  • The fees you pay for RiskScan reflect this allocation of risk and limitation of liability
  • You have had the opportunity to review these limitations before subscribing
  • These limitations are reasonable and do not deprive you of the substantial benefit of the Service
  • You accept these limitations as a material term of this agreement

9. False Positive Report

9.1 What is a False Positive?

A false positive occurs when RiskScan incorrectly flags legitimate, non-threatening content as dangerous and blocks, quarantines, or flags it as a threat.

9.2 How to Report False Positives

If you believe legitimate content was incorrectly flagged:

• Scan IDs of all affected scans
• Timeline of false positives
• Evidence supporting your claim (email headers, screenshots)

We will respond within 15 business days with:
• Root cause analysis
• Proposed actions and solution (sensitivity adjustment, model refinement)

 

10. Service Availability & Support

10.1 Uptime
  • Free/Pro Plans: Best effort, no uptime guarantee
  • Business/Enterprise Plans: We target 99.5% monthly uptime (best effort, not guaranteed)
  • Scheduled maintenance: Usually 02:00-06:00 SGT, announced 24 hours in advance when possible
  • Emergency maintenance may occur without notice (security patches, critical bugs)

Note: We’re a startup focused on building great security tools. We work hard to keep RiskScan running smoothly but can’t make enterprise-level uptime guarantees yet. Thank you for understanding!

10.2 Support Response Times
  • Free Plan: 5 business days (email only)
  • Pro Plan: 2 business days (email only)
  • Business Plan: 4 hours (email + chat)
  • Enterprise Plan: Custom support agreement

11. Intellectual Property Rights

11.1 RiskScan’s Intellectual Property

We own all rights to:

  • RiskScan software, platform, and infrastructure
  • AI models, algorithms, and threat detection logic
  • Documentation, guides, and educational materials
  • RiskScan brand, logos, and trademarks
  • All improvements and derivatives developed by us

You may NOT:

  • Reverse engineer, decompile, or disassemble our software
  • Copy, modify, or create derivative works
  • Remove or obscure copyright notices
  • Use our trademarks without written permission
11.2 Your Content & Data

You retain ownership of:

  • All content you submit for scanning
  • Your Channel configurations and settings
  • Your scan results and analytics data

License You Grant Us:

  • Limited, non-exclusive license to process your content for threat detection
  • License terminates when content is deleted (48-hour retention)
  • We may use anonymized, aggregated data for service improvement
11.3 Feedback & Suggestions

If you provide feedback:

  • We may use suggestions without compensation
  • You waive any intellectual property claims to ideas you share
  • We are not obligated to implement suggestions
  • All improvements remain our intellectual property

12. Termination

12.1 Termination by You

You may terminate at any time:

  • Cancel subscription from account dashboard
  • Termination effective at end of current billing period
  • No refunds for remaining time on paid plans
  • Account data retained for 30 days, then permanently deleted

Account Deletion:

  • Request permanent deletion: [email protected]
  • All data deleted within 30 days of request
  • Irreversible – cannot be undone
  • Export data before deletion (we cannot recover after deletion)
12.2 Termination by RiskScan

We may terminate or suspend your account if:

  • You violate these Terms of Service
  • You engage in Acceptable Use Policy violations (Section 4.3)
  • Your payment method fails and you don’t update within 7 days
  • You provide false or misleading information
  • We determine continued service would create legal liability
  • We detect fraudulent activity or abuse

Termination Process:

  • Warning: First violation typically results in warning email (except severe violations)
  • Suspension: Immediate suspension for serious violations
  • Termination: Account permanently closed for repeated or severe violations

Effect of Termination:

  • Immediate loss of access to Service
  • All data deleted per retention policy (48 hours for content, 30 days for account data)
  • No refunds for remaining subscription time
  • Outstanding balances become immediately due
12.3 Effect of Termination

Upon termination (by either party):

  • Your license to use RiskScan immediately terminates
  • You must cease all use of the Service
  • Any outstanding payment obligations become immediately due
  • Sections that survive termination remain in effect (see Section 12.4)
12.4 Survival of Terms

The following sections survive termination:

  • Section 7 (Indemnification)
  • Section 8 (Limitations of Liability)
  • Section 11 (Intellectual Property)
  • Section 13 (Governing Law & Dispute Resolution)
  • Any accrued payment obligations

13. Governing Law & Dispute Resolution 

13.1 Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Singapore, including:

  • Singapore Contract Act (Cap. 42)
  • Personal Data Protection Act (PDPA) 2012
  • Consumer Protection (Fair Trading) Act
  • Electronic Transactions Act

International Users: If you are located outside Singapore, your use of RiskScan constitutes consent to the application of Singapore law.

13.2 Dispute Resolution Process

We encourage resolving disputes amicably through this 4-step process:

Step 1 – Informal Resolution (Recommended First Step):

  • Contact: [email protected]
  • Describe the issue and desired outcome
  • We will respond within 15 business days
  • Goal: Resolve through direct negotiation

Step 2 – Mediation (Optional):

  • If direct negotiation doesn’t work, refer dispute to Singapore Mediation Centre (SMC)

  • Mediation conducted in English
  • Location: Singapore (or video conference for international users)
  • Costs: Shared equally between parties
  • Timeline: Typically 30-60 days
  • If agreement reached, it is binding on both parties

Step 3 – Singapore Courts:

  • If mediation fails or is not pursued, disputes will be resolved in Singapore courts

  • You irrevocably submit to the exclusive jurisdiction of Singapore courts

  • Appeals follow Singapore court hierarchy (High Court → Court of Appeal)

Note: We’re a small company. Legal disputes are expensive for everyone. Please give us a chance to fix issues before escalating. We want happy customers, not lawsuits!

13.3 Exceptions to Dispute Resolution Process

We may seek immediate court relief (skip mediation/arbitration) for:

  • Intellectual property infringement (trademark, copyright violations)
  • Threats to security or integrity of the Service
  • Fraudulent activity or criminal conduct
  • Injunctive relief to prevent
13.4 Time Limit for Claims

You must bring any claim within:

  • 1 year from the date the cause of action arose, OR
  • 2 years for consumer protection claims under Singapore law (whichever is longer)

Claims not brought within this period are permanently barred, regardless of merit.

13.5 Regulatory Complaints

If you believe we’ve violated Singapore law, you may file complaints with:

  • Personal Data Protection Commission (PDPC): For data protection violations
  • Consumers Association of Singapore (CASE): For consumer protection issues
  • Competition and Consumer Commission of Singapore (CCCS): For unfair business practices

Note: Filing a regulatory complaint does not waive your obligation to follow the dispute resolution process in Section 13.2 for private claims.

14. Changes to These Terms

14.1 Notification of Changes

We reserve the right to update these Terms of Service at any time. When we do:

How We Notify You:

  • Email notification for material changes affecting your rights or obligations
  • In-app notification via dashboard banner
  • Effective date clearly marked at top of document
  • Version history available upon request

Advance Notice:

  • 30 days advance notice for material changes
  • 7 days advance notice for minor changes
  • Immediate effect for changes required by law or to address security vulnerabilities
14.2 Your Acceptance of Changes

By continuing to use RiskScan after changes take effect, you accept the updated Terms.

If you do not agree with changes:

  • You may cancel your subscription before the effective date
  • Cancellation follows standard cancellation policy (Section 5.4)
  • No refunds for remaining time, unless legally required

Material Changes Requiring Re-Acceptance:

  • Changes to liability limitations (Section 8)
  • Changes to indemnification obligations (Section 7)
  • Changes to payment terms (Section 5)
  • Changes to dispute resolution (Section 13)

For these changes, we may require you to explicitly accept before continuing service.

15. Miscellaneous Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RiskScan regarding use of the Service.

These Terms supersede:

  • All prior agreements, proposals, or representations (written or oral)
  • All prior versions of Terms of Service
  • Any conflicting terms in other documents (except signed Enterprise agreements)
15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction:

  • That provision will be modified to the minimum extent necessary to make it enforceable
  • All other provisions remain in full force and effect
  • The Terms as a whole continue to govern the relationship
15.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver.

  • We may enforce our rights at any time
  • Waiver of one breach does not waive future breaches
  • Any waiver must be in writing and signed by authorized RiskScan representative
15.4 Assignment

You may NOT assign or transfer these Terms or your account without our written consent.

We may assign these Terms:

  • To an affiliate or subsidiary
  • In connection with a merger, acquisition, or sale of assets
  • To any successor entity

Upon assignment by us, these Terms bind your successors and assigns.

15.5 Notices

All legal notices must be sent to:
